Customer Content Commercial Use Agreement

Effective Date: March 23, 2026

This Customer Content Commercial Use Agreement ("Agreement") is entered into between you ("Creator," "you," or "your") and Tasty Gains LLC, an Arizona limited liability company ("Tasty Gains," "Company," "we," "us," or "our").

By submitting any video, photo, audio, written testimonial, review, statement, caption, likeness, name, image, voice, social handle, or other content through any Tasty Gains form, website, landing page, campaign, or related platform, and by clicking "I Agree," you agree to be legally bound by this Agreement.

  1. Purpose

You understand that Tasty Gains is requesting customer-submitted content in connection with promotional campaigns, including campaigns in which a free product or other promotional consideration may be offered in exchange for submitted content.

You agree that any content you submit may be used by Tasty Gains for commercial, advertising, marketing, promotional, editorial, ecommerce, and business purposes, subject to the terms of this Agreement.

  1. Grant of Rights

You hereby grant to Tasty Gains LLC a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free, fully paid-up license to use, reproduce, edit, modify, adapt, translate, crop, retouch, create derivative works from, publish, display, perform, distribute, transmit, broadcast, advertise, promote, and otherwise exploit your submitted content, in whole or in part, in any manner and in any media now known or later developed.

This license includes the right to use your submitted content in paid advertising, social media advertising, website content, landing pages, email marketing, SMS marketing, organic social media, product pages, retargeting campaigns, whitelisting and dark post campaigns, marketplace content where permitted, and internal business and archival purposes.

  1. Name, Image, Voice, and Likeness Release

To the extent included in your submitted content, you grant Tasty Gains LLC the right to use your name, first name, initials, image, likeness, photograph, voice, statements, testimonial content, social media handle, and other identifying characteristics contained in or associated with the submitted content for commercial and promotional purposes.

You waive any right to inspect or approve the final use of the submitted content or any materials incorporating it.

  1. Editing Rights

You acknowledge and agree that Tasty Gains LLC may edit, modify, crop, dub, caption, reformat, resize, combine, excerpt, rearrange, or otherwise alter your submitted content in its sole discretion, provided such use is not unlawful.

Tasty Gains LLC is not required to use your submitted content in its original form and is not required to use it at all.

  1. Ownership

You retain ownership of your submitted content to the extent you legally own it. However, you grant Tasty Gains LLC the rights and license described in this Agreement.

Nothing in this Agreement transfers any ownership rights in Tasty Gains LLC's trademarks, logos, product names, branding, packaging, advertising assets, or other intellectual property to you.

  1. Representations and Warranties

You represent and warrant that:

(a) You are at least 18 years old and have full legal capacity to enter into this Agreement.

(b) The submitted content is original to you, or you otherwise have all necessary rights, licenses, permissions, and consents to submit it and grant the rights described in this Agreement.

(c) The submitted content does not infringe, misappropriate, or violate any third party's rights, including any copyright, trademark, privacy, publicity, contractual, or proprietary rights.

(d) Any statements made in the submitted content reflect your honest opinions, findings, beliefs, or experiences.

(e) You will not submit content that is false, misleading, deceptive, defamatory, obscene, unlawful, or otherwise inappropriate.

(f) If any other person appears in the submitted content, you have obtained that person's valid permission and release sufficient for Tasty Gains LLC to use the submitted content as described in this Agreement.

(g) If any minor appears in the submitted content, you are the minor's parent or legal guardian, or you have obtained legally sufficient parent or guardian consent authorizing the submission and commercial use of the content as described in this Agreement.

  1. Disclosure and Compliance

You acknowledge that if you received, or expect to receive, a free product, discount, gift, reward, or other benefit from Tasty Gains in connection with your submitted content, that relationship may need to be disclosed where required by applicable law or platform rules.

You agree that any testimonial, review, endorsement, or statement you make about Tasty Gains or its products will be truthful, based on your actual experience, and not misleading.

  1. No Obligation to Use; No Additional Compensation

You understand and agree that Tasty Gains LLC has no obligation to use, publish, or maintain any submitted content.

Except for any product, reward, discount, or other consideration expressly offered by Tasty Gains in connection with the submission campaign, you will not be entitled to any additional compensation, royalties, residuals, fees, reimbursement, or other payment arising from Tasty Gains LLC's use of the submitted content.

  1. Waiver and Release

To the fullest extent permitted by law, you release and discharge Tasty Gains LLC and its parents, subsidiaries, affiliates, successors, assigns, advertising agencies, service providers, employees, officers, directors, members, managers, contractors, and representatives from any and all claims, demands, liabilities, damages, costs, or causes of action arising out of or related to the use of the submitted content as authorized by this Agreement, including claims based on rights of publicity, rights of privacy, defamation, emotional distress, or approval rights.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Tasty Gains LLC and its parents, subsidiaries, affiliates, successors, assigns, advertising agencies, service providers, employees, officers, directors, members, managers, contractors, and representatives from and against any and all claims, demands, actions, liabilities, losses, damages, judgments, settlements, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your breach of this Agreement; (b) your submitted content; (c) your violation of any law or third party right; or (d) any lack of permission, consent, or authority required for Tasty Gains LLC to use the submitted content as described in this Agreement.

  1. Removal Requests

You understand that Tasty Gains LLC is not obligated to remove previously used, distributed, published, or licensed content after submission and approval. However, Tasty Gains LLC may, in its sole discretion, review written removal requests submitted to partnerships@tastygains.com.

Any voluntary removal by Tasty Gains LLC will not affect rights already granted or uses already made before removal.

  1. Entire Agreement

This Agreement constitutes the entire agreement between you and Tasty Gains LLC with respect to the submitted content and supersedes any prior or contemporaneous understandings, communications, or agreements relating to that content.

  1. Modifications

Tasty Gains LLC may update this Agreement from time to time. The version in effect at the time of your submission and acceptance will govern that submission unless otherwise stated by Tasty Gains LLC.

  1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of law principles.
